Terms of Service

Global Trade Hub OÜ (“Company”, “we”, “us”, “our”) operates the website www.globaltradehub.ee and provides international trade intermediary services including import/export solutions, marine equipment trading, B2B commerce facilitation, customs consulting, and quality inspection. By accessing or using our website and services, you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our services.

2. Scope of Services

Global Trade Hub OÜ acts as an international trading intermediary. Our services include but are not limited to:
  • Marine equipment trading and supply
  • Import and export management solutions
  • B2B trade facilitation and partner matching
  • Customs consulting and trade compliance
  • Quality inspection and third-party verification
  • Sourcing and procurement assistance
Important: We act as an intermediary. Unless explicitly stated in a separate written agreement, we are not the buyer, seller, manufacturer, or shipper of goods. Our role is to facilitate connections, manage documentation, and provide consulting services.

3. Eligibility

Our services are intended for business-to-business (B2B) transactions only. By using our services, you represent and warrant that:
  • You are at least 18 years of age
  • You are acting on behalf of a legitimate business entity
  • You have the authority to bind that business entity to these terms
  • Your business is legally registered and compliant with applicable laws

4. User Accounts & Inquiries

When you submit an inquiry via our website (“Get a Quote”, “Send Us an Inquiry”, or other forms), you agree to provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of any account credentials and for all activities that occur under your account.

5. Quotes & Contractual Agreements

  • Any quote provided by Global Trade Hub OÜ is non-binding unless expressly stated otherwise in writing.
  • Prices, specifications, and availability of goods or services are subject to change without notice.
  • A binding agreement is formed only when both parties sign a separate Service Agreement, Sales Contract, or Purchase Order.
  • All transactions are subject to our standard terms and conditions of sale or service, which will be provided upon request.

6. Fees & Payments

  • Fees for our services will be outlined in the applicable Service Agreement.
  • Unless otherwise agreed, all fees are quoted in Euro (€) and are exclusive of VAT, customs duties, taxes, shipping, insurance, or other third-party costs.
  • Payment terms are net 14 days from the date of invoice, unless otherwise specified in writing.
  • Late payments may incur interest at 2% per month or the maximum permitted by Estonian law.
  • We reserve the right to suspend services until full payment is received.

7. Limitation of Liability

To the maximum extent permitted by Estonian and EU law:
  • Global Trade Hub OÜ acts as an intermediary and is not liable for the quality, safety, legality, or delivery of goods supplied by third-party manufacturers or suppliers.
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.
  • Our total aggregate liability arising out of or relating to these terms or our services shall not exceed the total fees paid by you to us in the six (6) months preceding the claim.
  • We do not guarantee that our website will be uninterrupted, error-free, or free of viruses or other harmful components.

8. Indemnification

You agree to indemnify, defend, and hold harmless Global Trade Hub OÜ, its directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
  • Your use of our services
  • Your breach of these Terms of Service
  • Your violation of any applicable laws or third-party rights
  • Any transaction between you and a third-party supplier or buyer introduced through us

9. Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of Global Trade Hub OÜ or its content suppliers and is protected by Estonian and international copyright laws. You may not reproduce, distribute, modify, or create derivative works without our express written permission.

10. Force Majeure

We shall not be liable for any delay or failure to perform our obligations under these terms if the delay or failure results from events beyond our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, pandemics, strikes, supplier failures, customs delays, or governmental actions.

11. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms of Service. Upon termination, your right to use our services will cease immediately.

12. Governing Law & Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Estonia and applicable European Union regulations, without regard to its conflict of law provisions. Any dispute arising out of or relating to these terms or our services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, it shall be submitted to the Harju County Court (Tallinn, Estonia) for resolution.

13. Entire Agreement

These Terms of Service, together with our Privacy Policy and any signed Service Agreements, constitute the entire agreement between you and Global Trade Hub OÜ regarding your use of our website and services, superseding any prior agreements.

14. Severability

If any provision of these Terms of Service is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Changes to Terms

We reserve the right to modify or replace these Terms of Service at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.
